7. Client Responsibilities

Clients are responsible for providing information, materials, access, approvals, and cooperation reasonably required to perform the services.

  • Logos
  • Images
  • Text
  • Product information
  • Website access
  • Advertising account access
  • Social media access
  • Analytics access
  • Hosting access
  • Domain access
  • Customer information where legitimately required
  • Approvals and feedback

Delays caused by missing information, access, approvals, or feedback may affect project timelines.


8. Client-Provided Content

You represent and warrant that you have the necessary rights, licenses, permissions, and authority to provide any content, data, images, logos, trademarks, videos, documents, software, or other materials supplied to DGTL Magnet.

You are responsible for ensuring that client-provided materials:

  • Do not infringe third-party intellectual property rights.
  • Do not violate applicable law.
  • Do not contain unlawful or fraudulent material.
  • May legally be used for the intended purpose.

You agree to indemnify DGTL Magnet against claims arising from unlawful or unauthorized client-provided materials, to the extent permitted by law.


9. Approvals

Where client approval is required, the client is responsible for reviewing deliverables before publication, launch, submission, or deployment.

Once a client approves content, advertising material, website changes, designs, campaigns, or other deliverables, DGTL Magnet may proceed based on that approval.

Errors or changes requested after approval may be treated as additional work.


10. Payments and Fees

Clients agree to pay all fees specified in the applicable quotation, proposal, invoice, order form, or service agreement.

Payment terms may include:

  • Upfront payments
  • Milestone payments
  • Monthly fees
  • Recurring subscriptions
  • Project-based fees
  • Performance or campaign fees
  • Third-party charges

Unless otherwise agreed in writing, invoices are payable within the period stated on the invoice.


11. Late Payments

If payment is not received by the applicable due date, DGTL Magnet may, where legally permitted:

  • Suspend services.
  • Pause project work.
  • Restrict access to certain services.
  • Delay deliverables.
  • Charge applicable late fees where agreed.
  • Recover reasonable collection costs.
  • Terminate the relevant service agreement.

Suspension caused by non-payment does not necessarily eliminate amounts already owed.


12. Taxes

Fees may be subject to applicable taxes, including GST or other government charges.

Unless expressly stated otherwise, applicable taxes and statutory charges are the client’s responsibility.


13. Third-Party Services

DGTL Magnet may use or integrate with third-party platforms and services, including:

  • Meta
  • Facebook
  • Instagram
  • WhatsApp
  • LinkedIn
  • Hosting providers
  • Cloud platforms
  • Payment providers
  • Analytics platforms
  • Advertising platforms
  • CRM platforms
  • Email platforms
  • AI platforms
  • Other technology providers

Third-party services may have their own terms, policies, pricing, limitations, outages, and technical requirements.

DGTL Magnet does not control third-party platforms and cannot guarantee their continuous availability or performance.


14. Advertising Services

For advertising or paid-media services, DGTL Magnet may manage campaigns through third-party advertising platforms.

Advertising results may be affected by factors outside our control, including:

  • Market conditions

  • Account restrictions

Digital marketing results are not guaranteed unless expressly stated in writing.

We do not guarantee:

  • A particular revenue amount
  • A specific return on advertising spend
  • A particular search-engine ranking
  • A specific social-media following
  • A specific website traffic level
  • A specific conversion rate
  • Approval by third-party advertising platforms

Marketing performance depends on numerous factors outside DGTL Magnet’s control.


16. Search Engine Optimization

Where SEO services are provided, DGTL Magnet may implement strategies intended to improve organic search visibility.

However, search-engine rankings are controlled by third-party search engines.

We do not guarantee:

  • First-page rankings
  • Number-one rankings
  • Specific keywords
  • Specific traffic levels
  • Specific leads or sales

Search engines may change their algorithms, policies, indexing methods, and ranking factors without notice.


17. Website and Software Development

Where we provide website, software, application, or automation development services:

  • The agreed scope determines the included functionality.
  • Additional features may require additional fees.
  • Client delays may affect delivery dates.
  • Third-party integrations may be subject to third-party limitations.
  • Hosting and infrastructure costs may be separate.
  • Ongoing maintenance may require a separate agreement.

Unless expressly included, post-launch maintenance, content updates, hosting, third-party licenses, and future feature development are not automatically included.


18. Intellectual Property

Unless otherwise agreed in writing, DGTL Magnet retains ownership of its pre-existing:

  • Software
  • Code libraries
  • Frameworks
  • Templates
  • Processes
  • Methodologies
  • Strategies
  • Tools
  • Systems
  • Know-how
  • Internal documentation
  • Reusable components

Client-specific deliverables may be transferred or licensed to the client according to the applicable agreement and subject to payment of all amounts due.


19. Client Intellectual Property

The client retains ownership of intellectual property that the client lawfully provides to DGTL Magnet.

By providing materials to us, the client grants DGTL Magnet the permissions reasonably necessary to use those materials to perform the agreed services.


20. Portfolio and Promotional Use

Unless otherwise agreed in writing, DGTL Magnet may identify a client as a client and display completed, publicly available work in its portfolio, website, presentations, case studies, or marketing materials.

If a client requires confidentiality or prohibits portfolio use, that requirement should be agreed upon in writing.

We will not intentionally disclose confidential information merely for promotional purposes.


21. Confidentiality

Each party may receive confidential information from the other party.

Confidential information may include:

  • Business strategies
  • Pricing
  • Customer information
  • Marketing plans
  • Technical information
  • Credentials
  • Trade secrets
  • Financial information
  • Non-public business information

Each party agrees to use reasonable care to protect confidential information and not disclose it except where necessary to perform the agreement or where disclosure is required by law.

Confidentiality obligations do not generally apply to information that:

  • Is publicly available without breach.
  • Was already lawfully known.
  • Is independently developed.
  • Is lawfully obtained from another source.
  • Must be disclosed by law.

22. Account Credentials and Access

Where clients provide passwords, API keys, administrator access, or other credentials, the client is responsible for ensuring that it has authority to provide such access.

DGTL Magnet will use reasonable care in handling access credentials.

Clients should not provide unnecessary credentials or access permissions.

Where possible, clients should use appropriate role-based access and revoke access when it is no longer required.


23. Prohibited Activities

You must not use DGTL Magnet services to:

  • Commit fraud.
  • Conduct illegal activities.
  • Distribute malware.
  • Conduct phishing.
  • Harass or threaten others.
  • Infringe intellectual property.
  • Distribute unlawful content.
  • Violate privacy rights.
  • Manipulate or deceive consumers.
  • Conduct unauthorized financial activity.
  • Send unlawful spam.
  • Circumvent platform restrictions.
  • Violate advertising-platform policies.

30. Suspension and Termination

Termination does not automatically eliminate amounts already due.

  • Ongoing third-party services may continue to incur charges if contracted separately.
  • Clauses intended to survive termination will remain effective.

32. Refunds and Cancellations

These Terms, together with any applicable proposal, quotation, statement of work, invoice, service agreement, order form, Privacy Policy, or other written agreement, constitute the applicable agreement between DGTL Magnet and the user or client regarding the relevant services.

If there is a conflict between these Terms and a separately signed written agreement, the separately signed agreement will generally govern the specific services covered by that agreement.
